Terms

The agreement

These terms are a contract between you and Schema Technologies LLC ("Schema", "we", "us"). They govern your use of schematech.co, Spend Terminal, Market Terminal, Strata, Schema Creative and any other product we say is covered by them — together, "the Services". By creating an account or using a Service, you agree to these terms and to our Privacy Policy.

You must be at least 16 to use the Services, and at least 18 to connect a financial account.

Your account

Keep your credentials to yourself and tell us at hello@schematech.co if you think someone else has used your account. You are responsible for activity under it. We may suspend or close accounts that break these terms, that are inactive for a long period, or where the law requires it. You can close yours at any time by asking us.

What you may and may not do

You may use the Services for their intended purpose, for yourself or your organisation. You may not:

• break, probe or overload the Services, or access data that is not yours;
• connect accounts you are not authorised to connect;
• scrape, resell or redistribute market data, health data or other content obtained through the Services;
• use the Services to harass, defraud or harm anyone, or to violate a law;
• reverse-engineer the Services except where the law expressly allows it;
• use another person's content in Schema Creative without the rights to do so.

Third-party services

The Services connect to third parties you choose — Plaid, SnapTrade, Apple, Google, Oura and others. Their terms and privacy policies govern your relationship with them, and we are not responsible for their services, outages or errors. Some Services use Anthropic's API to generate assistant responses; AI output can be inaccurate and should be checked before you rely on it.

Content and intellectual property

Your content stays yours. Anything you create or upload in Schema Creative, and your data in every Service, belongs to you. You give us a licence to store, process and display it only as needed to run the Services for you and the people you share it with.

The Services are ours. The software, designs, names, marks and the material we publish are owned by Schema or our licensors and protected by law. Using a Service does not transfer any of that to you. "Schema", "Schema Tech", "Spend Terminal", "Market Terminal", "Strata" and "Schema Creative" are marks of Schema Technologies LLC.

Fees and changes to the Services

Some Services are currently free. If we introduce or change fees, we will tell you in advance and you can stop using the Service before they apply. We may change, pause or discontinue features or whole Services; if we discontinue one you pay for, we will refund the unused portion of any prepaid period. Features marked beta or in build may change or disappear without notice.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SCHEMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY DATA, ANALYSIS, RECOMMENDATION OR AI OUTPUT IS CORRECT OR SUITABLE FOR YOUR PURPOSES.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SCHEMA AND ITS MEMBERS, OFFICERS AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, INVESTMENT LOSSES OR PERSONAL INJURY ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF ONE HUNDRED US DOLLARS OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, IN WHICH CASE THEY APPLY TO THE EXTENT PERMITTED.

Your responsibility to us

You will defend and hold Schema harmless from claims and costs arising from your content, your breach of these terms, or your violation of law or of someone else's rights.

Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before filing a claim, you agree to email us and give us 30 days to try to resolve it. Any dispute that is not resolved will be brought in the state or federal courts located in Florida, and you consent to their jurisdiction. Nothing here prevents either of us from seeking an injunction to protect intellectual property or confidential information.

General

These terms and the Privacy Policy are the whole agreement between us about the Services. If a part is unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not assign these terms; we may assign them to a successor. We will post changes here with a new effective date and, for material changes, notify you in the Service or by email before they take effect; continuing to use the Services after that means you accept them.
